Proposed merger between Southern Sun Proprietary Limited (SSH) and Majormatic 194 Proprietary Limited (Majormatic).

The Commission has recommended to the Tribunal that the large merger whereby SSH intends to acquire Majormatic, be approved without conditions.

On the same transaction, South Sun Interests Property Limited (SSHI), a subsidiary of SSH will be taking cession of the management agreements in respect of the relevant hotels (Crown Plaza Johannesburg – The Rosebank, Holiday Inn Sandton, The Bayshore Inn, Protea Hotel Imperial, Protea Hotel Hazyview and Protea Hotel – The Winkler) from Extrabold Hotel Management Proprietary Limited (Extrabold).

Post-merger, SSH will wholly own Majormatic and the management agreements in respect of the relevant hotels will be ceded by Extrabold to SSHI.

Tsogo Holdings is a hotel, gaming and entertainment firm with operations in South Africa, Nigeria, Kenya, Tanzania, Zambia, Mozambique, the United Arab Emirates and the Seychelles. Majormatic does not own hotel properties but currently leases six hotels in South Africa.
